Please read these Terms of Service ("Terms") carefully before using the Lilac Labs website, products, or services. These Terms constitute a legally binding agreement between you and Lilac Labs, Inc. ("Lilac Labs," "we," "us," or "our") governing your access to and use of our voice AI technology solutions for restaurants.

1. Acceptance of Terms

By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services. If you are using our services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Description of Services

Lilac Labs provides voice AI technology solutions for restaurants, including but not limited to drive-thru ordering, phone ordering, reservation handling, and call center solutions (collectively, the "Services"). Our Services are designed to help restaurants streamline operations, improve customer experience, and increase efficiency.

3. Account Registration and Security

To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment Terms

Some of our Services require payment of fees. All fees are stated in U.S. dollars and are exclusive of any applicable taxes unless otherwise stated. You agree to pay all fees and applicable taxes associated with your use of the Services. All payments are non-refundable except as expressly set forth in these Terms.

Subscription fees are billed in advance on a monthly or annual basis, depending on the subscription plan you select. By subscribing to our Services, you authorize us to charge your payment method for the subscription fees at the then-current rates.

5. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by Lilac Labs, our licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms do not grant you any right, title, or interest in or to any intellectual property owned or licensed by Lilac Labs, nor do they grant you the right to make use of any Lilac Labs trademarks, service marks, or logos without our prior written consent.

6. User Content

You retain all rights in any content that you submit, post, or display on or through our Services ("User Content"). By submitting, posting, or displaying User Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and improving our Services.

7. Prohibited Conduct

You agree not to:

• Use our Services for any illegal purpose or in violation of any local, state, national, or international law
• Violate or encourage others to violate the rights of third parties, including intellectual property rights
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Attempt to gain unauthorized access to our Services, user accounts, or computer systems
• Harvest or collect email addresses or other contact information of other users from our Services
• Impersonate another person or entity or misrepresent your affiliation with a person or entity
• Use our Services in any manner that could disable, overburden, damage, or impair the Services

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LILAC LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Lilac Labs and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the changes becoming effective. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within San Francisco County, California.
